By using our website, services, or making bookings through us (“Services”), you agree to these Terms & Conditions (“Agreement”) between you (“you” or “Customer”) and IDES (“we,” “us,” or “our”).
1. Definitions
Services: Projects, services, or subscriptions provided by IDES, including website creation, hosting, marketing support, and digital account management.
Minimum Term: Initial paid service term (e.g., monthly or annual) specified at purchase.
Subscription Period(s): Recurring periods extending beyond your Minimum Term.
Order Details: Written summary of your package, fees, duration, start date.
Referral Credit: A credit applied to your account from referring another customer.
2. Services & Fees
We’ll provide the Services outlined in your Order Details.
Fees are due from your Start Date through the Minimum Term — monthly or annually.
Annual plans auto-renew 1 month before expiration to ensure uninterrupted service.
Unless canceled per Section 3, Services continue on a recurring basis.
You may add or upgrade Services anytime; pricing adjustments may apply.
Prices may change post-Minimum Term with 30 days’ notice.
Referral Credits are applied to your next billing and expire if you cancel before use.
Payments are processed via verified third-party processors (e.g., Stripe, PayPal).
If payment fails during your Minimum Term, your entire term fee becomes due immediately. Overdue payments accrue interest.
Sales tax(s) are not included unless legally required.
We may modify Services; if major functionality is lost, you may cancel within 30 days of notice.
A 30-day money-back guarantee applies to new customers (excluding domain costs).
Promotional offers are subject to specific terms; IDES may withdraw them at any time.
Domain availability and renewals are your responsibility; Domain fees are non-refundable.
Setup Fee refundable within 30 days, subject to domain costs (see Section 11).
3. Cancellation & Renewals
Cancel or downgrade only at the end of an Initial or Renewal Term by notifying us in writing. No early termination credits.
Failure to pay results in service suspension until payment is made.
4. License & Content
You grant IDES a license to use, modify, and host your content to deliver Services.
You remain the content’s owner and are responsible for its legality and accuracy.
If we manage your third-party digital accounts (e.g., Google, Facebook), we act on your behalf. You agree to those platforms’ terms.
5. Warranties & Customer Responsibilities
You warrant that:
You’re 18+ and authorized to enter into this Agreement.
You will not misuse or reverse-engineer our systems.
Login credentials remain secure.
Content you provide is legal and properly owned.
You will not imply that your Services represent our own.
Any customer data you receive via us is handled per our Privacy Policy.
6. Limitation of Liability
We are not liable for indirect damages, loss of profits, or business interruptions.
Our liability caps at the total fees paid in the preceding 12 months.
We are not responsible for disruptions caused by external issues (e.g., internet outages, acts of nature).
7. Booking Services
Contact info you provide for bookings will be shared with Service Providers.
Purchases, pay-per-use services, or products are your obligation directly with that provider.
We’re not responsible for service availability, pricing issues, or quality delivered by third-party providers.
8. Data & Privacy
User data is governed by our Privacy & Cookies Policy, which is incorporated here.
You may access and use customer data from your services and must comply with data protection obligations.
9. Termination
Either party can terminate with 30 days’ notice at the end of a paid term.
We may terminate immediately if you breach fundamental terms or misuse Services.
On termination, licenses to content, domains, or digital accounts will end unless transferred to you upon request and payment.
10. Dispute Resolution & Governing Law
Applicable to all users, this Agreement is governed by Louisiana state law.
Any dispute will be resolved in the courts of Rapides Parish, Louisiana.
Claims must be brought within one year of arising, unless otherwise required by law.
11. Refund Policy
A full refund (minus domain costs) is available within 30 days of Setup Fee payment.
If delivery exceeds 7 days post-questionnaire, your refund window extends accordingly.
Beyond 30 days, all sales are final.
12. Affiliate Disclosure
We may earn commissions through third-party affiliate links. Recommendations are based on merit, not compensation. We’re not responsible for external sites.
13. Marketing & Communications
By giving us your email or phone, you agree to receive service and marketing messages.
You can opt out at any time via unsubscribe links, replying “STOP,” or contacting us at [email protected].
14. Changes to Terms
We may update these Terms; material changes will trigger email notice.
Your continued use signifies acceptance of the revised Terms.
